SiS Cloud Services Terms of Service

  1. “SiS” means SiS Distribution (Thailand) Public Company Limited.
  2. “You” means you or the entity you represent
  3. “The Agreement” means a SiS Cloud Service’s service agreement signed by you or the entity you represent and SiS Distribution (Thailand) Public Company Limited. The agreement covered type of service provided, service detail, effective date, service term and payment term.
  4. You agree to hire and SiS agrees to be hired to provide SiS Cloud Services with the details specified in the Agreement.
  5. SiS will provide the service to you according to the service term specified in the Agreement and the service will be available on the effective date specified in the Agreement.
  6. You agree to hire based on service term specified in the contract. If you decide to terminate the Agreement before the end of the term and there is no incidence as stated in clauses 13.1 to 13.4, you agree to pay SiS until the end of the term.
  7. You agree to pay for the service as SiS has invoiced. If the payment is not according to the schedule in the Agreement, you shall pay interest at the rate of 15% per annum of the outstanding service charges.
  8. In the event of a service failure, you must notify SiS and SiS must correct the failure without charge except such failure is caused by you.
  9. Service provided by this Agreement is a 24-hour non-stop service with a standard and a service level agreement at 99.90%. The service level agreement is calculated from:
    1. (All the time in that month – downtime) / All the time in that month
    2. Downtime starts from the time that you cannot use the service as described in the Agreement and you has contacted the after-sales service team via telephone or email and will end when you notified SiS that the service can be used as normal.
  10. If SiS is not able to provide a 99.90% according to the Service Level Agreement unless the failure is caused by you, SiS agrees to reduce the monthly service fee in the following month.
    1. From 95% but less than 99.90%, 50% discount for the monthly service fee in the following month
    2. Less than 95%, 100% discount for the monthly service fee in the following month
  11. SiS reserves the right not to be responsible for any damage incurred in all cases if you uses the service illegally or violate this Agreement.
  12. SiS has the right to terminate the service immediately in the following cases and SiS is not liable for any damage that may be incurred to you as a result of the suspension of this contract:
    1. You ceases as an entity.
    2. You uses fake documents to request service.
    3. You uses this service unlawfully or violates the Agreement.
    4. You are overdue for payment specified in the invoice sent by SiS and SiS has notified you to pay such debt for a period of not less than 30 days and it is not the case which you argues the validity of the invoice.
  13. In the event of any of the following circumstances, you may terminate this contract immediately. You shall pay the full amount of the service until the date on which the termination of this Agreement takes effect.
    1. You cannot use the service from SiS for ongoing occurrence and beyond your control.
    2. SiS violates the terms of the Agreement.
    3. SiS ceases as an entity.
    4. SiS changed the terms of the contract or terms of service, which resulted in your benefits are reduced unless required by the law.
  14. Termination or modification of any part of the Agreement, any party shall give written notice to the other party not less than 30 days in advance.
  15. If you do not terminate the contract or change any details in this Agreement at the end of the term, it is deemed that you wish to continue using the service for the same duration of the service specified in the Agreement.
  16. Any letters or notices of SiS sent to you at the place specified by the Agreement shall be deemed that you has received accordingly. The change of your address will take effect when you has informed SiS not less than 7 days.
